Terms and Conditions of Sale (Texas – Effective 15 December 2025)
These Terms and Conditions (the “Agreement”) are incorporated by reference into any written or electronic contract, purchase order, invoice or other documentation (“Customer Order”) issued by Honesty Electrical, LLC, a Texas limited liability company (“Honesty Electrical” or “We/Us/Our”), and constitute the entire agreement between the parties with respect to the sale of goods and/or services.
Acceptance of Terms
By signing, submitting a purchase order, or otherwise agreeing to any transaction with Honesty Electrical, the Client acknowledges and agrees that this Agreement supersedes all prior written or oral terms, conditions, or understandings between the parties.
Any attempt by the Client to modify or add to these Terms must be in writing and signed by an authorized representative of Honesty Electrical. No waiver of any provision is effective unless in writing and signed by us.
Payment Terms
- All invoices are payable within five (5) business days from the invoice date unless a different payment period is expressly set forth on the invoice or in the Customer Order.
- If payment is not received within the applicable period, interest will accrue on the unpaid balance at a rate of one percent (1 %) per month (equivalent to 12 % per annum).
Interest will be calculated from the day after the due date until the date the balance is paid in full, inclusive of all days. - If the Client fails to pay any amount when due, Honesty Electrical may, without notice, suspend the performance of any or all services under the Customer Order.
Collection of Over‑60‑Day Receivables
- If an invoice remains unpaid more than sixty (60) days after its due date, Honesty Electrical may engage a debt‑collection agency or legal counsel to recover the amount.
- The Client shall reimburse Honesty Electrical for all reasonable collection costs, including attorney fees, court costs, and agency fees.
Collection efforts will commence only after a written notice of default has been sent to the Client and 10 days have elapsed without payment.
Withholding and Taxes
- If the Client is located in a jurisdiction that imposes withholding on payments for services, the Client is responsible for paying any applicable withholding taxes directly to the relevant tax authority.
- Honesty Electrical will not be liable for any costs, penalties, or interest arising from such withholding. The invoice amount shall represent the full amount payable to us, exclusive of any statutory taxes or withholding.
Scope of Services and Performance
- Honesty Electrical shall provide the services described in the Customer Order in a professional and work‑manlike manner.
- We do not guarantee specific results or outcomes. Our obligation is to provide services in a timely and competent manner.
- Honesty Electrical shall not be considered a third party or agent of the Client for any claims or lawsuits arising from the Client’s customers or end‑users.
Liability and Claims
- Any claim against us must be written, served by registered mail or courier, to our registered office within eight (8) days of the delivery of goods or completion of services.
- Failure to provide such written notice within the time period shall constitute waiver of the claim.
- We are liable only for direct damages arising from our breach of contract or negligence. We are not liable for indirect, incidental, or consequential damages.
- Honesty Electrical shall not be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is caused by a Force Majeure Event. For the purposes of this Agreement, a “Force Majeure Event” means an event or circumstance beyond the reasonable control of the party affected, which includes but is not limited to:
- Acts of God (e.g., earthquakes, floods, hurricanes, tornadoes, extreme weather, wildfires, volcanic eruptions, tsunamis, and other natural disasters);
- War, insurrection, civil commotion, terrorism, or any other armed conflict, whether domestic or foreign;
- Acts of governmental or regulatory bodies, including but not limited to embargoes, sanctions, export restrictions, and changes in law or regulation that materially affect the performance of this Agreement;
- Epidemic or pandemic outbreaks, including those declared by the World Health Organization, the U.S. Centers for Disease Control and Prevention, or other relevant public health authority;
- Labor disputes, strikes, lockouts, or other work stoppages, whether or not the party is a member of a labor organization;
- Fires, explosions, or other accidents that are not reasonably foreseeable or preventable by the affected party;
- Utilities interruptions (electricity, water, telecommunications, or other essential services) that prevent the party from fulfilling its obligations.
Governing Law and Dispute Resolution
- This Agreement shall be governed exclusively by the laws of the State of Texas (without regard to conflict‑of‑law provisions).
- The parties agree that any dispute, claim, or controversy arising under or related to this Agreement shall first be attempted to be resolved by good‑faith negotiations.
- If negotiations fail, the parties may elect to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), held in Austin, Texas. Judgment on the arbitration award may be entered in any court having jurisdiction.
- If arbitration is not chosen, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Bexar County, Texas.
Miscellaneous
- The Client may not assign or transfer any rights or obligations under this Agreement without prior written consent from Honesty Electrical.
- If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force.
- This Agreement, together with any Customer Order, constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements.
- By clicking “Accept” on our website, electronically signing, or otherwise agreeing to a Customer Order, the Client irrevocably accepts all terms herein.
